These Terms of Service and Content License (“Terms”) form a legal agreement between Circuitnet Media LLC, a New Hampshire limited liability company operating the Newsletter Station service (“Newsletter Station,” “Company,” “we,” “us” or “our”), and the person or organization using the service (“Customer,” “you” or “your”).
By creating an account, selecting a plan, accessing a newsletter or using any Newsletter Station service, you agree to these Terms. If you do not agree, do not create an account or use the service.
1. Newsletter Station Services
Newsletter Station prepares professional email newsletters for businesses and organizations. Depending on the selected plan, services may include market-focused content, original featured articles, branding, personal messages, promotional areas, newsletter source code and managed delivery through a connected third-party email service.
Current plan features, prices and limitations are described on the Newsletter Station website. We may improve, modify or discontinue particular features as provided in these Terms.
2. Definitions
- Company Content means original articles, summaries, headlines, graphics, designs, layouts, software, templates and other material created or licensed by Newsletter Station.
- Customer Content means names, logos, photographs, contact information, messages, promotions, links, images, claims and other material supplied or entered by the Customer.
- Newsletter means an email publication or related web page prepared through Newsletter Station.
- Email Service means a third-party bulk email or email marketing platform used to deliver newsletters.
- Contact List means the email addresses and related information used by the Customer to distribute newsletters.
- Service means the Newsletter Station website, customer account, newsletter preparation tools, content, source code and managed services.
3. Plans
FREE. The FREE plan provides a limited newsletter format and automatic weekly delivery through a supported, connected Email Service. FREE customers do not receive newsletter HTML or source-code access and may not remove, reposition or modify Newsletter Station identification, promotional links or other elements included with the FREE plan.
FLEX. The FLEX plan allows the Customer to personalize designated newsletter areas and obtain the completed newsletter HTML or source code for delivery through the Email Service of the Customer’s choice. FLEX customers are responsible for uploading, testing, scheduling and sending their newsletters.
PLUS. The PLUS plan includes designated personalization features and managed weekly delivery through a supported Email Service connected to the Customer’s account. Available customization and delivery features are described on the current pricing page.
Features and limits associated with each plan may change. Material changes affecting a paid plan will be communicated before they take effect whenever reasonably practical.
4. Customer Accounts
You must provide complete and accurate account information and keep it current. You are responsible for safeguarding account credentials and for all activity occurring through your account.
You may not share account credentials with unauthorized persons or permit another business or organization to use your account. Notify Newsletter Station promptly if you suspect unauthorized access.
5. Subscription Billing
FLEX and PLUS are monthly subscription plans. When you sign up for a paid plan, the first paid billing period begins on the first day of the following calendar month. For example, if you sign up on September 18, your first paid billing period begins October 1.
Paid subscriptions automatically renew on the first day of each calendar month until canceled. You authorize Newsletter Station and its payment processor to charge the applicable subscription fee, taxes and approved additional charges to your payment method.
To avoid the next monthly charge, cancellation must be completed before the beginning of the next calendar month. Cancellation takes effect at the end of the current paid billing period.
Payments are nonrefundable except where required by law. Newsletter Station does not provide prorated refunds or credits for a partially used month, unused services, reduced contact counts or cancellation after a monthly billing period has begun.
Email Service charges are not included in the Newsletter Station subscription price unless expressly stated otherwise. You are responsible for charges assessed by your selected Email Service, including charges resulting from contact counts, sending volume, account upgrades or overages.
We may change paid-plan prices by providing advance notice. Price changes will apply to a subsequent billing period and will not retroactively change fees already paid.
6. License to Use Newsletter Station Content
Subject to these Terms and the limitations of your plan, Newsletter Station grants you a limited, nonexclusive, nontransferable and revocable license to use the Newsletter and Company Content for your own organization’s lawful email marketing and customer communications.
This license does not transfer ownership of Company Content, software, templates, designs or source code.
FLEX customers may use the provided newsletter source code to distribute the completed Newsletter for the organization associated with the account. Source code may not be sold, sublicensed, republished as a template, used for another organization or used to create a competing newsletter product or service.
FREE and PLUS customers do not receive source-code rights unless expressly stated in writing. Access to a finished Newsletter does not grant access to or ownership of its underlying software, template or source code.
7. Ownership and Third-Party Content
Newsletter Station owns or licenses the Service and Company Content, including original writing, graphics, software, templates, design elements and the selection and arrangement of newsletter content.
Newsletters may contain summaries of or links to articles and material published by independent third parties. Those third parties retain ownership of their original material. Newsletter Station does not claim ownership of third-party articles, websites or publications merely because they are referenced or linked in a Newsletter.
Third-party trademarks, business names and copyrighted materials remain the property of their respective owners.
8. Customer Content
You retain ownership of Customer Content. You grant Newsletter Station a nonexclusive, worldwide, royalty-free license to host, reproduce, format, modify and display Customer Content only as reasonably necessary to provide, support and promote your Newsletter and account.
You represent that you own Customer Content or have all rights and permissions necessary to use it. You are responsible for the accuracy and legality of Customer Content, including promotional claims, professional claims, prices, offers, testimonials, images and links.
Newsletter Station may reject or remove Customer Content that appears unlawful, misleading, infringing, harmful, inappropriate or inconsistent with these Terms or an Email Service’s policies.
9. Contact Lists and Email Compliance
You are responsible for your Contact List and for establishing a lawful basis to email every recipient. You may not use purchased, rented, harvested, scraped or otherwise unauthorized email addresses.
You must be able to provide evidence of consent or another lawful basis for sending commercial email when requested by Newsletter Station or an Email Service.
You are responsible for complying with the CAN-SPAM Act and all other applicable privacy, marketing and anti-spam laws. This includes using accurate sender information and subject lines, providing a valid postal address, including a working unsubscribe method and honoring opt-out requests.
You may not upload or use a Contact List containing excessive invalid addresses, spam traps, recipients who have opted out or recipients who have not authorized the communications where authorization is required.
Newsletter Station may refuse a Contact List or suspend delivery when bounce rates, complaints, spam traps, list sources or other factors present a compliance or deliverability risk.
10. Sending Domains and Email Services
Customers using managed or automatic delivery must maintain a supported Email Service account and complete all required sending-domain authentication, identity verification and account setup.
Email Services are independent third parties. Your use of an Email Service is governed by that provider’s terms, privacy policy, acceptable-use policy, pricing and account requirements.
Newsletter Station does not control and is not responsible for an Email Service’s prices, contact limits, sending limits, approval decisions, suspensions, outages, feature changes, API changes or termination of service.
If an Email Service restricts or terminates your account, Newsletter Station may pause delivery until you resolve the issue or connect another supported account.
11. Deliverability and Results
Newsletter Station does not guarantee that every email will be accepted, delivered, placed in an inbox, opened, read or acted upon. Email delivery can be affected by Contact List quality, sender reputation, authentication, recipient servers, spam filters, Email Service policies and other matters outside our control.
We do not guarantee any particular number of opens, clicks, inquiries, sales, referrals or other business results.
12. Prohibited Uses
You may not use the Service or any Newsletter to:
- Violate any law, regulation or third-party right.
- Send spam or unsolicited commercial email.
- Distribute false, deceptive, defamatory, infringing or unlawful material.
- Promote illegal products, services or activities.
- Transmit malware, malicious code or harmful links.
- Impersonate another person or organization.
- Interfere with or attempt to bypass security, licensing or access controls.
- Reverse engineer, decompile, disassemble or misuse Newsletter Station software.
- Copy, resell, sublicense or distribute Company Content except as expressly permitted.
- Use the Service or Company Content to create or support a competing newsletter product or content service.
13. Informational Content
Newsletter content is provided for general informational and marketing purposes. It is not legal, medical, financial, tax, accounting or other professional advice.
You are responsible for reviewing your Newsletter before use and determining whether its content is appropriate for your organization and audience. When professional advice is required, readers should consult an appropriately qualified professional.
14. Service Availability and Changes
We work to provide reliable service but do not guarantee uninterrupted or error-free availability. Maintenance, technical problems, security incidents, third-party failures and circumstances beyond our reasonable control may temporarily affect access or delivery.
We may update the Service, replace content, change supported Email Services or modify features to address operational, legal, security or business requirements.
15. Suspension and Termination
You may cancel a paid subscription according to Section 5.
Newsletter Station may suspend or terminate access immediately if you violate these Terms, fail to pay amounts due, use an unauthorized Contact List, create a compliance or deliverability risk, misuse Company Content or expose Newsletter Station or an Email Service to potential liability.
We may discontinue a FREE account or FREE plan at any time. When reasonably practical, we will provide notice before discontinuing a FREE account that is in good standing.
Upon termination, your right to access the Service and use Newsletter Station software, templates and source code ends. You may retain ordinary archival copies of Newsletters previously sent, but you may not continue using Company Content or source code to prepare or distribute new issues.
Accrued payment obligations and provisions concerning ownership, restrictions, disclaimers, liability, indemnification and dispute resolution survive termination.
16. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, NEWSLETTERS, SOFTWARE AND COMPANY CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” NEWSLETTER STATION DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
NEWSLETTER STATION DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR COMPATIBLE WITH EVERY EMAIL SERVICE, DEVICE, APPLICATION OR RECIPIENT SYSTEM.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIRCUITNET MEDIA LLC AND ITS OWNERS, EMPLOYEES, CONTRACTORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS, LOSS OF GOODWILL OR INTERRUPTION OF SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF CIRCUITNET MEDIA LLC ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE FEES PAID DIRECTLY TO CIRCUITNET MEDIA LLC DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not permit certain warranty exclusions or liability limitations. In those jurisdictions, these provisions apply only to the extent permitted by law.
18. Indemnification
You agree to defend, indemnify and hold harmless Circuitnet Media LLC and its owners, employees, contractors and service providers from claims, damages, liabilities, penalties, costs and reasonable attorneys’ fees arising from your Customer Content, Contact List, email practices, violation of law, violation of an Email Service’s terms or breach of these Terms.
19. Privacy
Our collection and use of personal information are governed by the Newsletter Station Privacy Policy.
You acknowledge that Customer Content, account information and Contact Lists may be processed by third-party providers as necessary to provide payment processing, hosting, account management and email delivery services.
20. Changes to These Terms
We may update these Terms to reflect changes in the Service, law, security requirements or business practices. The revised Terms will be posted with a new effective date.
When a change materially affects a paid subscription, we will provide reasonable advance notice when practical. Continued use of the Service after revised Terms take effect constitutes acceptance of the revised Terms.
21. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of New Hampshire, without regard to conflict-of-law principles.
Any legal action arising from or relating to these Terms or the Service must be brought in a state or federal court located in New Hampshire, and each party consents to the personal jurisdiction of those courts.
22. General Provisions
These Terms, the applicable plan description and the Privacy Policy constitute the entire agreement concerning the Service and supersede prior discussions or agreements concerning the same subject.
If any provision is found unenforceable, that provision will be limited or removed only to the extent necessary, and the remaining provisions will continue in effect.
Our failure to enforce a provision does not waive our right to enforce it later.
You may not assign or transfer your account or rights under these Terms without our written consent. Newsletter Station may assign these Terms as part of a merger, reorganization, sale of assets or transfer of the Service.
